Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Prodigy Scientific, Inc. ("Prodigy Labs," "we," "us," or "our"), governing your access to and use of the Prodigy Labs platform, including the website at prodigy-labs.com and the application at app.prodigy-labs.com (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.

1. License Grant

Subject to your compliance with these Terms and payment of applicable fees, Prodigy Labs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. This license does not include the right to sublicense, resell, or redistribute the Services.

2. Account Registration

You must create an account to use the Services. You agree to provide accurate, current, and complete information and to maintain and update that information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at james@prodigyscientific.com if you suspect unauthorized use.

3. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of applicable regulations
  • Upload or transmit any data that infringes third-party intellectual property rights
  • Attempt to gain unauthorized access to any portion of the Services or related systems
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use the Services to transmit harmful, offensive, or fraudulent content
  • Interfere with the integrity or performance of the Services
  • Use automated tools (bots, scrapers) to access the Services without written permission

4. Your Data

You retain ownership of all data, content, and materials you upload to or create within the Services ("Your Data"). You grant Prodigy Labs a limited license to process and store Your Data solely to provide the Services. We will not sell, share, or use Your Data for purposes beyond operating the Services without your consent.

You are responsible for the accuracy of Your Data and for ensuring you have the right to upload it. You are responsible for maintaining backups of Your Data.

5. Third-Party Integrations

The Services may allow you to connect third-party services (e.g., QuickBooks Online). Your use of those services is subject to the third party's terms and privacy policies. We are not responsible for third-party services and their availability or performance. Connecting a third-party service authorizes us to access and process data from that service as necessary to provide the integration.

6. Fees and Payment

Access to certain features requires a paid subscription. Fees are described at the time of purchase. Subscriptions renew automatically unless cancelled before the renewal date. All fees are non-refundable except as required by law or as stated in a separate written agreement. We reserve the right to change pricing with 30 days' notice to active subscribers.

7. Intellectual Property

The Services, including all software, design, content, trademarks, and documentation, are the exclusive property of Prodigy Scientific, Inc. or its licensors. Nothing in these Terms transfers any ownership of our intellectual property to you. Feedback or suggestions you provide may be used by us without obligation to you.

8. Confidentiality

Each party agrees to keep the other's non-public information confidential and to use it only to fulfill obligations under these Terms. This obligation does not apply to information that is or becomes publicly known through no fault of the receiving party.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, PRODIGY LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Analytical results and certificates of analysis generated through the Services are for quality control and research purposes only. They do not constitute a guarantee of product safety or fitness for any particular use.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRODIGY LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Prodigy Scientific, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

12. Term and Termination

These Terms remain in effect while you use the Services. We may suspend or terminate your access at any time for material violation of these Terms. You may terminate your account at any time from within the platform or by contacting us. Upon termination, your license to use the Services ends. We will retain Your Data for 30 days after termination, after which it may be deleted.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in San Diego County, California, and you consent to personal jurisdiction in those courts.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a notice within the platform. Continued use of the Services after changes constitutes acceptance of the revised Terms.
